We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through a notice on our platform. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.

2.1 Platform Overview

Ahora Education Ltd provides an online platform connecting Spanish language learners with certified native tutors for one-on-one video lessons. Our services include:

• Access to tutor profiles and scheduling tools
• Video conferencing for live lessons
• Learning resources and materials
• Progress tracking and reporting
• Customer support

2.2 Independent Contractors

Tutors on our platform are independent contractors, not employees ofAhora Education Ltd. While we vet and certify tutors, we do not control the content or quality of individual lessons. Ahora Education Ltd acts as a facilitator connecting students and tutors.

2.3 Service Availability

We strive to maintain continuous service availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue services for maintenance, updates, or other reasons with reasonable notice when possible.

3. User Accounts

3.1 Account Registration

To use our services, you must:

• Be at least 13 years old (13-17 require parental consent)
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly update any changes to your information

3.2 Account Security

You are responsible for all activities that occur under your account. You must:

• Keep your password confidential
• Notify us immediately of any unauthorized access
• Not share your account with others
• Not create multiple accounts without authorization

3.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason at our discretion. You may close your account at any time through your account settings.

4.1 Pricing

Lesson prices are displayed on our platform and may vary by tutor, package, and promotional offers. All prices are in USD unless otherwise specified.

4.2 Payment Processing

Payments are processed securely through third-party payment providers (Stripe, PayPal). By providing payment information, you authorize us to charge the applicable fees.

4.3 Lesson Packages

When purchasing lesson packages:

• Lessons must be used within 12 months of purchase
• Unused lessons expire after the validity period
• Packages are non-transferable
• Refunds are subject to our cancellation policy (Section 7)

4.4 Platform Fee

Ahora Education Ltd charges a service fee (included in displayed prices) for facilitating connections, providing platform infrastructure, and customer support.

4.5 Taxes

You are responsible for any applicable taxes. Prices do not include taxes unless explicitly stated. We will add applicable taxes at checkout based on your location.

5.1 Acceptable Use

You agree to use our services responsibly and not to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Transmit harmful or malicious content
• Harass, abuse, or harm other users or tutors
• Attempt to circumvent platform fees
• Use automated systems or bots to access services
• Impersonate others or provide false information
• Interfere with platform security or functionality

5.2 Respectful Communication

All interactions with tutors and support staff must be professional and respectful. Inappropriate behavior, including but not limited to harassment, discrimination, or threatening language, will result in immediate account termination.

5.3 Content Restrictions

You may not share, post, or transmit content that is:

• Illegal, obscene, or offensive
• Defamatory or fraudulent
• In violation of privacy rights
• Promoting violence or discrimination

6. Intellectual Property

6.1 Platform Content

All content on the Ahora Education Ltd platform, including text, graphics, logos, software, and design, is the property of Ahora Education Ltd or its licensors and is protected by copyright, trademark, and other intellectual property laws.

6.2 User Content

You retain ownership of content you create or upload. By using our services, you grant Ahora Education Ltd a worldwide, non-exclusive, royalty-free license to use, reproduce, and display your content solely for providing and improving our services.

6.3 Lesson Materials

Lesson materials provided by tutors are for your personal, non-commercial use only. You may not redistribute, sell, or republish materials without permission.

6.4 Recording Policy

Lessons may be recorded for quality assurance and dispute resolution purposes, with prior notice and consent. You may not record lessons without explicit permission from your tutor.

7.1 Lesson Cancellation

• More than 24 hours before lesson: Free cancellation, lesson credit returned
• Less than 24 hours before lesson: 50% lesson credit returned
• No-show: No refund or credit issued

7.2 Tutor Cancellation

If a tutor cancels a lesson, you will receive full credit and may reschedule with the same or different tutor at no additional cost.

7.3 Package Refunds

Lesson packages may be refunded for unused lessons within 30 days of purchase, minus a 10% processing fee. After 30 days, refunds are atAhora Education Ltd's discretion.

7.4 Dispute Resolution

If you are unsatisfied with a lesson, please contact support within 24 hours. We will review your case and may offer a credit or refund at our discretion.

8.1 Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

8.2 Limitation of Damages

To the maximum extent permitted by law, Ahora Education Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

8.3 Maximum Liability

Our total liability for any claims arising from your use of our services shall not exceed the amount you paid to Ahora Education Ltd in the 12 months preceding the claim.

8.4 Tutor Responsibility

Ahora Education Ltd is not responsible for the actions, content, or quality of services provided by independent tutor contractors. Disputes with tutors should first be addressed through our support team.

9. Indemnification

You agree to indemnify, defend, and hold harmless Ahora Education Ltd, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

• Your violation of these Terms
• Your violation of any rights of another party
• Your use or misuse of our services
• Content you submit or share through our platform

10. Dispute Resolution

10.1 Informal Resolution

Before filing a claim, you agree to contact us at support@ahoraspanish.co.uk to attempt to resolve the dispute informally.

10.2 Arbitration

If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules. Arbitration will take place in San Francisco, California, unless both parties agree otherwise.

10.3 Class Action Waiver

You agree to resolve disputes on an individual basis only. You waive any right to participate in class actions or class-wide arbitration.

11. General Provisions

11.1 Governing Law

These Terms are governed by the laws of the State of California, USA, without regard to conflict of law principles.

11.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

11.3 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ahora Education Ltd regarding use of our services.

11.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

11.5 Force Majeure

Ahora Education Ltd is not liable for failures or delays due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, or government actions.
